Software License

End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or entity) and Timesten Technologies regarding your use of Clasyo software ("Software").

1. Grant of License

1.1 License Grant

Subject to the terms of this Agreement and payment of applicable fees, Timesten Technologies grants you a limited, non-exclusive, non-transferable, revocable license to use the Software as a Service (SaaS).

1.2 Subscription Types

Your license is determined by your subscription plan:

• Basic Plan: Access for up to 100 students
• Professional Plan: Access for up to 500 students
• Enterprise Plan: Unlimited students with advanced features

2. License Restrictions

You may NOT:

• Copy, modify, or create derivative works of the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices or labels
• Transfer, sublicense, or resell the Software
• Use the Software to develop a competing product
• Access the Software to build a similar service
• Share your account credentials with unauthorized users
• Exceed the usage limits of your subscription plan

3. Intellectual Property Rights

3.1 Ownership

Timesten Technologies retains all right, title, and interest in and to the Software, including all intellectual property rights. The Software is licensed, not sold.

3.2 Your Content

You retain all rights to the data and content you upload to the Software. You grant us a license to use your content solely to provide and improve the service.

4. Software as a Service

4.1 Hosted Service

Clasyo is provided as a cloud-based service. You access the Software via web browsers and do not receive any software to install locally.

4.2 Updates and Maintenance

• We may update the Software without notice
• Updates may add, modify, or remove features
• We perform regular maintenance to ensure service quality
• Critical security updates are applied automatically

5. Support and Maintenance

Support is provided based on your subscription level:

• Basic Plan: Email support (48-hour response)
• Professional Plan: Email and chat support (24-hour response)
• Enterprise Plan: Priority support with dedicated account manager

6. Data Security and Backup

6.1 Security Measures

We implement industry-standard security measures including:

• SSL/TLS encryption for data transmission
• Encrypted data storage
• Regular security audits
• Access controls and authentication

6.2 Backups

We perform regular automated backups. However, you are responsible for maintaining your own backup copies of critical data.

7. Subscription and Payment Terms

7.1 Subscription Fees

• Fees are charged in advance for each billing period
• Prices are subject to change with 30 days' notice
• All fees are non-refundable except as required by law

7.2 Free Trial

New users may receive a free trial period. After the trial, you must subscribe to continue using the service.

8. Term and Termination

8.1 Term

This license is effective upon your acceptance and continues until terminated in accordance with this Agreement.

8.2 Termination by You

You may terminate at any time by canceling your subscription.

8.3 Termination by Us

We may terminate this license if you:

• Breach any terms of this Agreement
• Fail to pay subscription fees
• Violate applicable laws
• Misuse the Software

8.4 Effect of Termination

Upon termination:

• Your license to use the Software immediately ends
• You must cease all use of the Software
• You may request a copy of your data within 30 days
• We may delete your data after the retention period

9. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

IN NO EVENT SHALL TIMESTEN TECHNOLOGIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless Timesten Technologies from any claims, damages, or expenses arising from your use of the Software or violation of this Agreement.

12. Compliance with Laws

You must use the Software in compliance with all applicable laws and regulations, including:

• Data protection and privacy laws
• Educational regulations (e.g., FERPA if applicable)
• Export control laws
• Anti-spam and anti-harassment laws

13. Governing Law

This Agreement is governed by the laws of Kenya. Any disputes shall be resolved in the courts of Nairobi, Kenya.

14. Entire Agreement

This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Timesten Technologies regarding the Software.
